Course Description

Running a business is, in many ways, a legal undertaking in itself. With so many moving parts and ongoing concerns, several areas of law are touched upon while doing business: employment laws and regulations, real property, litigation, business tax planning, and startup financial structuring. 

While it’s important to draw on expert legal counsel when required, it’s equally as important to be informed yourself. The more working knowledge you have of these specialty areas of law, the better you’ll be able to identify and discuss them and be prepared to face your pressing issues head on.

This course is co-authored by by six legal experts, including Cornell Law School professors and practicing attorneys. Through a rich set of animated videos and a course project that ensures application of the concepts to your own work situation, you’ll be ready face legal issues that are of particular relevance to your business.

Faculty Author

David Sherwyn is the John and Melissa Ceriale Professor of Hospitality Human Resources and a professor of law at Cornell University’s School of Hotel Administration. He is also academic director of the Cornell Institute for Hospitality Labor and Employment Relations and a research fellow at the Center for Labor and Employment Law at New York University’s School of Law. Prior to joining Cornell, Sherwyn practiced labor and employment law for six years.
 
Robert Wertheimer is an adjunct professor at the Cornell Law School and is a partner in the real estate practice of Paul Hastings, based in New York City. He focuses his practice on commercial real estate purchase and sale transactions, joint ventures, development and finance matters, representing entrepreneurial investors, prominent real estate individuals and families, as well as institutional and investment fund clients.
 
Nathalia Bernardo is an adjunct professor at the Cornell Law School and is a partner in the real estate practice of Paul Hastings, based in New York City. She counsels a wide variety of clients in commercial real estate transactions, including joint ventures, acquisitions and dispositions, development, and management. Ms. Bernardo also advises non-profit organizations regarding real estate and other transactional matters. 
 
Eve Klein, a 1985 graduate of Cornell Law School, is a partner in the law firm of Duane Morris LLP, in New York City. She practices in the area of employment law, labor relations, and litigation. She has extensive experience advising clients about their rights and obligations regarding laws and regulations which affect the workplace.
 
Robert A. Green is a professor at Cornell Law School, where he teaches federal income taxation, international taxation, international trade law, corporate taxation, partnership taxation, and the taxation of financial products. His scholarship focuses on the implications of international economic integration for tax reform and on the relationship between international tax law and international trade law.
 
Jim Fulton is a partner in the law firm of Cooley LLP. He focuses on representing both emerging and established technology, healthcare and biotechnology companies, and the venture capital firms that invest in those companies. In the past decade, Jim has worked on more than 350 venture capital transactions, raising more than $4 billion.
