Course Description

The duty of loyalty was traditionally paramount, mandatory, and not subject to limitations, but starting in the early 2000s, Delaware, followed by a few other states, started to chip away at the duty of loyalty. In this lesson, you'll define what the duty of loyalty actually means. You'll also take a look at corporate opportunity waivers, which allow corporations to essentially opt out of the duty of loyalty, and you'll explore how corporate directors must structure their decision making in order to fulfill their duties of loyalty.
